Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you ("you" or "User") and Roborian, Inc.("Roborian," "we," "us," or "our"), a Delaware C-Corporation, governing your access to and use of the OKiDO platform at okido.io, including all related applications, APIs, and services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization.

2. Description of Service

OKiDO is a multi-organization operations platform. The Service includes, but is not limited to:

  • Playbook & Knowledge Base — hierarchical organization of folders, processes, documents (rich-text wiki pages with version history), SOP templates (step-by-step checklists), screen recordings with transcription, visual workflow diagrams, and decision trees.
  • SOP Execution (RUNs) — step-by-step execution of SOP templates with status tracking, approvals, form submissions, file attachments, comments, step-level automation, escalation rules, and optional public sharing via token-based links.
  • Project & Task Management — projects with Kanban boards, list views, and calendar views; tasks with priorities, due dates, subtasks, blocking dependencies, comments, and file attachments; sprint management with planning, standup, and retrospective meetings.
  • Team Collaboration — team and role management, in-app notifications, email notifications, browser push notifications, comments with @mentions, smart labels with custom metadata fields.
  • Dashboard & Search — customizable dashboards with widgets (active RUNs, task summaries, deadlines, activity feeds, team workload); full-text global search across all content types with filters and saved searches.
  • AI Features — AI chat agents for operational assistance, automated SOP authoring, code generation, sandboxed automation execution (JavaScript, TypeScript, Python, Bash) in Docker containers, and AI-powered process optimization.
  • Integrations — REST API access with scoped tokens, outbound webhooks with signed payloads, Model Context Protocol (MCP) integration for AI tools, and third-party credential management with encrypted storage.

Feature availability varies by subscription plan. See Section 4 for details.

3. Account Registration & Security

To use the Service, you must create an account with a valid email address and password. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain the security and confidentiality of your account credentials.
  • Notify us immediately at [email protected] if you suspect unauthorized access.
  • Accept responsibility for all activities that occur under your account.

You may belong to multiple organizations simultaneously. Each organization maintains independent data, billing, and access controls.

4. Subscription Plans & Payment

4.2 Billing

Paid subscriptions are billed in advance on a monthly or yearly cycle through Stripe. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. Continued use after a pricing change constitutes acceptance.

4.3 Downgrades

If you downgrade your plan, your access to features exceeding the new plan's limits may be restricted at the end of the current billing period. Existing data is not deleted but may become read-only until you reduce usage or upgrade.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable law.
  • Upload or transmit malicious code, viruses, or content designed to damage, disable, or impair the Service.
  • Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated means (bots, scrapers) to access the Service except through our published API.
  • Circumvent usage limits, rate limits, or plan restrictions.
  • Share account credentials or use one account for multiple individuals.
  • Harass, abuse, threaten, or discriminate against other users.
  • Use the Service in a manner that violates the intellectual property rights of third parties.
  • Transmit content that is unlawful, defamatory, obscene, or otherwise objectionable.

We reserve the right to suspend or terminate accounts that violate these rules.

6. Intellectual Property

6.1 Our Property

The Service, including its design, code, features, trademarks, and documentation, is owned by Roborian, Inc. and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except the limited right to use it as described herein.

6.2 Your Content

You retain all ownership rights to content you upload or create on the Service ("User Content"). By using the Service, you grant Roborian a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process your User Content solely to operate and provide the Service.

6.3 AI-Generated Content

Content generated by OKiDO's AI features in response to your prompts is considered your User Content. Roborian may use anonymized, aggregated usage patterns (never your raw content) to improve the Service.

6.4 Feedback

If you provide feedback or suggestions about the Service, you grant Roborian an unrestricted license to use that feedback without obligation to you.

7. AI Features & Disclaimer

  • OKiDO's AI features are powered by third-party artificial intelligence providers (currently OpenAI). When you use AI features, your prompts and relevant operational context are transmitted to these providers for processing.
  • AI output is not guaranteed to be accurate, complete, or error-free. You are solely responsible for reviewing, validating, and deciding whether to act on AI-generated content.
  • AI features should not be used as the sole basis for decisions with legal, financial, medical, or safety implications.
  • Data sent to AI providers is subject to their respective privacy policies and data processing terms.

8. Automation & Code Execution

The Service allows execution of user-defined or AI-generated code (JavaScript, TypeScript, Python, Bash) in sandboxed Docker containers. By using this feature:

  • You are solely responsible for the code you execute and its outcomes.
  • Roborian provides encrypted credential storage (AES-256-GCM) for your third-party integrations, but you are responsible for managing and securing those credentials.
  • Roborian is not liable for unintended consequences of automation execution, including data changes made to third-party services through your configured integrations.
  • Automation execution is subject to timeouts and resource limits based on your subscription plan.

9. Public Sharing & External Access

The Service offers several mechanisms for sharing data externally:

  • Public RUN Links — token-based URLs with optional password protection and expiration dates. You control what is shared and can revoke access at any time.
  • REST API — organization-scoped API tokens with configurable scopes and expiration.
  • Webhooks — outbound event-based HTTP notifications with HMAC-signed payloads to your configured endpoints.
  • MCP Integration — OAuth 2.1 authenticated access for AI tools with read/write capabilities.

You are responsible for the security of your API tokens, webhook endpoints, and any data you choose to share externally through these mechanisms.

10. Data Ownership & Portability

Your User Content belongs to you (or your organization). You can request an export of your data at any time by contacting [email protected]. Upon account termination, we will delete your data in accordance with our Privacy Policy and applicable data retention requirements.

11. Service Availability & Modifications

  • We strive to maintain the Service at high availability but do not guarantee uninterrupted or error-free access. Maintenance windows, updates, and unforeseen events may cause temporary downtime.
  • We may modify, add, or remove features of the Service at any time. For material changes that reduce functionality, we will provide reasonable notice.
  • We may discontinue the Service with 90 days' notice. In that event, we will provide a means for you to export your data.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ROBORIAN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROBORIAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY.

ROBORIAN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO ROBORIAN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify, defend, and hold harmless Roborian, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.

15. Termination

  • By you — you may close your account at any time through your account settings or by contacting [email protected]. Paid subscriptions end at the conclusion of the current billing period.
  • By us — we may suspend or terminate your account immediately if you violate these Terms, or with 30 days' notice for any other reason.
  • Upon termination, your right to use the Service ceases. We will delete your data in accordance with our Privacy Policy, subject to legal retention requirements.

16. Additional Provisions for EU/EEA, UK, and Swiss Users

16.1 Data Processing

When you use the Service, Roborian acts as a data processor with respect to your User Content that contains personal data of third parties (e.g., your customers, employees, or partners). You act as the data controller and are responsible for ensuring that you have a lawful basis to process such personal data.

16.2 Data Processing Agreement

For organizations that require a Data Processing Agreement (DPA) under GDPR Article 28, we provide a DPA upon request. Contact [email protected] to receive our standard DPA.

16.3 Sub-Processors

We use the following sub-processors to deliver the Service. We will notify you of material changes to this list:

16.4 Consumer Rights

Nothing in these Terms limits your statutory rights as a consumer under the laws of your country of residence in the EU or UK. If any provision of these Terms conflicts with mandatory consumer protection laws, the mandatory law prevails.

16.5 Limitation of Liability (EU/UK)

For users within the EU or UK, the limitation of liability in Section 13 does not apply to: (a) our liability for death or personal injury caused by our negligence; (b) our liability for fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

16.6 Right of Withdrawal

If you are an EU consumer and purchase a paid subscription, you have a 14-day right of withdrawal from the date of purchase. To exercise this right, contact [email protected] before the withdrawal period expires. If you have begun using the Service during the withdrawal period and you explicitly consented to begin performance, you may still be charged for the period of use.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

For users in the EU or UK: this choice of law does not deprive you of the protection of the mandatory provisions of the laws of your country of habitual residence.

18. Dispute Resolution

18.1 Informal Resolution

Before filing a formal claim, you agree to attempt to resolve disputes informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days.

18.2 Binding Arbitration

If informal resolution fails, all disputes will be resolved through binding arbitration under the American Arbitration Association ("AAA") Commercial Arbitration Rules. The arbitration will be conducted in English in the State of Delaware. Either party may seek injunctive relief in any court of competent jurisdiction.

18.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and not as part of any class, consolidated, or representative action.

18.4 Small Claims Exception

Either party may bring a qualifying dispute in small claims court in lieu of arbitration.

18.5 EU/UK Users

If you are located in the EU, you may also refer disputes to the European Commission Online Dispute Resolution platform at ec.europa.eu/consumers/odr. The arbitration clause does not prevent you from bringing proceedings in the courts of your country of habitual residence.

19. General Provisions

  • Entire Agreement — these Terms, together with the Privacy Policy, constitute the entire agreement between you and Roborian regarding the Service.
  • Severability — if any provision is held invalid or unenforceable, the remaining provisions remain in full effect.
  • Waiver — our failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment — you may not assign your rights under these Terms. Roborian may assign its rights in connection with a merger, acquisition, or sale of assets.
  • Force Majeure — Roborian is not liable for delays or failures caused by events beyond our reasonable control (natural disasters, pandemics, government actions, internet disruptions).
